By this notice we refer to the joint draft terms of cross-border merger (the “Merger Plan”) between CARINIOS a:s. a joint-stock company incorporated and existing under the laws of the Czech Republic, with its registered office at Štítová 269, Újezd u Průhonic, 149 00 Prague 4, Czech Republic, ID No. 196 03 061 registered in the Commercial Register kept by the Municipal Court in Prague File No. B 28311 (the "Successor Company") and CENTARIOS LIMITED, a limited liability company incorporated and existing under the laws of the Republic of Cyprus, with Registration Number HE 310056 and having its registered address at Stasinou & Bouboulinas 3, Floor 1, 1060, Nicosia, Cyprus, registered in the registry of companies, administered by the Registrar of Companies of the Republic of Cyprus (the "Dissolving Company"), dated 29/10/2025, was this was published in the website of the Dissolving Company www.centarios.com in accordance with the terms and conditions of which the Dissolving Company will merge with the Acquiring Company and we would like to inform you that you may submit to the Dissolving Company, at the latest five (5) working days before the 29/11/2025, comments on the Merger Plan by sending email to jan.simek@centarios.com
